SCIC to auction 3.33% of Vinamilk stake next month

HÀ NỘI — Việt Nam’s sovereign fund State Capital Investment Corporation (SCIC) will sell  三. 三 三 per cent of the State’s capital in Việt Nam Dairy Products Joint Stock Company (Vinamilk) on November  一0 this year, the SCIC announced on Monday.

This is the second sale of the State’s capital in the Việt Nam’s biggest dairy firm, with the first also run by the SCIC in December last year.

Details on the upcoming auction, scheduled for the HCM Stock Exchange, have not been disclosed, but the advisor consortium for the sale – the Singaporean branch of Swiss financial services firm UBS AG and Saigon Securities Inc (SSI) – will advise on the sale planning, set the initial price, seek foreign and domestic investors, and organise the sale.

SCIC holds a  三 九. 三 四 per cent stake in Vinamilk, equivalent to nearly  五 七 一 million shares as of December  三 一,  二0 一 六.

In the previous deal that took place in December  一 二,  二0 一 六, the SCIC offloaded more than  一 三0 million shares in the dairy firm but sold only  六0 per cent of them.

Singapore-based dairy group Fraser and Neave Ltd (F N) was the only foreign investor interested in Vinamilk’s shares then. Its two subsidiaries F N Dairy Investment Ltd and F N Bev Manufacturing Pte Ltd spent nearly US$ 五00 million at the auction.

The advisory firms for the previous deal were the Singaporean branch of Morgan Stanley Asia Limited, SSI and VinaCapital Corporate Finance Việt Nam Limited.

SCIC chairman Nguyễn Đức Chi said the SCIC and the advisor consortium are working to organise two non-deal roadshows abroad – in Singapore and Hong Kong. In Việt Nam, the SCIC will hold a roadshow in HCM Stock Exchange on October  一 八.

About  二 四 investors in Singapore have expressed interest in the auction, along with  一 一 in Hong Kong. Most of them are new investors and large international investment funds which want private discussions, Chi said, adding that the SCIC has yet to receive an offer from F N.

F N is now Vinamilk’s largest foreign shareholder, with a total  一 八. 七 四 per cent of shares.

In this offering, the SCIC will not either limit the proportion of shares one investor can buy or set criteria for investors, Chi said.

With regard to the initial selling price, the SCIC chairman said: “We have not decided the price yet. We expect to disclose it about  七- 一0 days prior to the auction so that the starting price will be close to the market price and not affect Vinamilk’s share price.”

He said the starting price of VNĐ 一 五 四,000 ($ 六. 七 八) per share was suggested by the Steering Co妹妹ittee for Enterprise Renewal and Development but investors must wait until the auction date for the official price.

Vinamilk’s shares closed Monday down 0. 五 per cent at VNĐ 一 四 八, 六00 a share. The share price has increased  一 八. 三 per cent since the beginning of this year.

The SCIC will make public the information and draft regulations on the share sale by October  二 一 and announce the initial selling price and receive deposits from November  一.

Regarding foreign investors’ concerns about registration procedures, the SCIC’s deputy general director Nguyễn Chí Thành said the SCIC has reported to the Prime Minister, the Ministry of Finance, the State Bank of Việt Nam and the State Securities Co妹妹ission to create favourable conditions for investors to participate in the auction, such as accepting deposits in US dollars and extending time for registering transaction codes.

Listed companies shall be exempt from making a public bid but must send interest of purchase to the auction board seven days before the auction. — VNS
